Wholesale Order Terms

Introduction and Acceptance

These Wholesale Terms & Conditions govern all orders for Goods supplied by Tonic Product Development Pty Ltd (Tonic) to the Purchaser. By submitting an order or opening a wholesale account you acknowledge and agree to these Terms. Deviations require Tonic’s written approval.

Key at-a-glance

• Minimum order (AUD): $500 (ex GST & freight) for AUD and NZ orders.
• Pack multiples: Orders must meet pack multiples; Tonic may round up to next pack multiple.

Heat Wraps & Vanities: packs of 2
Jewellery Cube & Cosmetic Bags: packs of 3
Eye Pillows, Eye Masks, Shower Caps, Handkerchiefs & Hot Water Bottles: packs of 3

Soaps, Sachets, Scrunchies, Mini Jewellery cubes, Pill boxes and Measuring tapes:  packs of 6

Manicure sets: packs of 12

 

·         Payment: Full payment prior to dispatch unless credit terms agreed in writing.

·         Shipping: Physical address required (no PO Boxes); freight charged per order.

·         Returns: Notify Tonic within 7 business days of delivery for shortages, damage or nonconformity.

·         Intellectual Property: Tonic retains all IP; buyers are licensed to use supplied imagery per guidelines.

·         Territory: Geographic exclusivity only by separate written agreement.

 

Orders and Acceptance

• All Orders are subject to acceptance by Tonic. Tonic may cancel or vary Orders and may increase quantities to meet pack multiples.

Pricing, Taxes and Duties

• Prices are exclusive of GST (where applicable) and freight unless stated.
• Price changes: Tonic may revise prices time to time and advise customers via EDM.
• International duties (important): Unless otherwise explicitly stated and agreed in writing, international Buyers in all countries except the United States of America are responsible for and must pay all import duties, tariffs, customs fees and governmental charges arising from export/import of Goods. Purchaser indemnifies Tonic for any such charges, fines or penalties if not paid by the Purchaser. (For USA Buyers: duties/customs will be handled only as expressly agreed in writing.)

• Accepted methods: credit card (Visa/Mastercard) or direct deposit (email payment receipt to info@tonic.net.au). Credit account terms only if agreed in writing and agreements signed. (            Applicable for separate terms and conditions)
• Overdue amounts: interest and collection costs may apply.

Delivery, Risk & Title

• Risk passes on delivery; title remains with Tonic until full payment received.
• If no-one is available to receive delivery, redelivery or storage charges may apply.

Inspection, Returns & Faulty Goods

• Inspect on delivery and notify Tonic within 7 business days for shortages, damage or non-conforming Goods.
• Faulty Goods must be isolated and await Tonic’s assessment. Returns require prior written authorisation.

Warranty & Liability

• Tonic warrants Goods will materially conform to specifications and be free of material defects for 90 days from delivery, unless otherwise stated.
• Except where law does not permit (e.g., certain consumer guarantees), Tonic’s liability is limited to repair, replacement, re-supply or refund for the affected Goods. Tonic is not liable for indirect or consequential loss.

Marketing, Platforms & Imagery

• Purchaser must notify Tonic of retail locations and websites (Platforms) used to sell Goods and obtain prior written approval for Platforms.
• Third-party marketplace sales (eBay, Amazon, Facebook Marketplace etc.) are prohibited unless expressly authorised.
• Use only Tonic-supplied imagery and descriptions online unless Tonic consents in writing. Remove Tonic imagery on request.

IP & Confidentiality

• Tonic retains ownership of all designs, trademarks, images and other IP. Purchaser has a limited license to use supplied material to market Tonic Goods as authorised.
• Confidential information must be kept confidential for three years after termination.

Force Majeure

• Neither party is liable for delays caused by events beyond reasonable control. If delay exceeds 60 days, either party may terminate affected Orders.

Termination & Remedies

• Tonic may suspend supply or terminate for insolvency, serious breach, or non-payment. Termination does not affect accrued rights.

Governing Law & Dispute Resolution

• These Terms are governed by the laws of Victoria, Australia. Parties will try to resolve disputes in good faith before commencing litigation.
